Corporate Action Services

A corporate action is an event initiated by a listed company that affects its securities/shareholders in some way. We effectively manage the process for the client, in corporate actions such as:

·         Mergers and acquisitions, conditional offers/minority offers

·         Share buy backs, issues for cash, splits, consolidations, capitalisations, capital repayments and reductions, rights offers, clawbacks, unconditional offers, conversions

·         Company share incentive schemes

·         Changes to authorised and issued share capital, par value and nominal value changes

·         Transfer of listing to a different board/sector of the JSE

·         Cash and scrip dividend declarations and payments, special dividends, liquidation dividends

·         Coupon payments for interest income securities

·     Redemptions of debt securities (eg. debentures) and preference shares (in whole or in part, on maturity or early)

·         Company name changes

·         New listings/reverse takeover listings

·         Odd-lot security offers

·         Delistings/ listing suspensions (voluntary and JSE-imposed/company winding up

·         Termination of warrants/withdrawal of listing of certain securities

·         Schemes of arrangement/unbundlings

·         Exercising of options on company instruments
